Terms of Use

Effective Date: September 16, 2026
Last Updated: September 16, 2026

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the website operated by NHGT Inc. (“NHGT,” “we,” “us,” or “our”), including its public pages, Private Inquiry functionality, Client Access areas, content, information, and related online features (collectively, the “Website”).

By accessing or using the Website, you agree to these Terms. If you do not agree, you should not use the Website.

2. About the Website

The Website provides general information concerning NHGT, its areas of interest, and potential business, strategic, financial, commercial, and transaction-related opportunities.

Information presented on the Website is provided for general informational and business-development purposes unless NHGT expressly states otherwise in writing.

Nothing on the Website constitutes an offer, commitment, solicitation, recommendation, or agreement by NHGT to enter into any transaction or engagement.

3. No Advisory or Professional Relationship

Accessing the Website, communicating with NHGT, receiving a referral code, submitting a Private Inquiry, or obtaining access to a restricted area does not by itself create an advisory relationship, fiduciary relationship, investment-adviser relationship, broker-client relationship, agency relationship, attorney-client relationship, partnership or joint venture, contractual engagement, or any other professional relationship.

Any engagement with NHGT is subject to separate evaluation, acceptance, and, where applicable, definitive written agreements.

4. No Investment, Financial, Legal, Tax, or Other Professional Advice

Website content is not intended to constitute investment, securities, financial, accounting, tax, legal, regulatory, or other professional advice.

Nothing contained on the Website should be relied upon as a recommendation to acquire, dispose of, finance, structure, or otherwise participate in any investment, security, asset, business, project, or transaction.

Users should obtain independent professional advice appropriate to their circumstances before making decisions.

5. No Offer or Solicitation

Nothing on this Website constitutes or should be construed as an offer to sell, solicitation of an offer to buy, or recommendation concerning any security, investment product, financial instrument, asset, financing arrangement, or transaction.

Any potential transaction discussed with NHGT will be subject to its own terms, due diligence, approvals, documentation, applicable laws, and other requirements.

6. Private Inquiry

NHGT may make a Private Inquiry process available to individuals or organizations possessing an authorized referral code.

A referral code provides access only to the applicable inquiry process; does not guarantee that NHGT will review, pursue, finance, advise on, or participate in an opportunity; does not constitute endorsement of the person or organization possessing it; and may be restricted, revoked, invalidated, or discontinued by NHGT.

NHGT may accept, decline, discontinue, or elect not to respond to an inquiry in its discretion, subject to applicable law and any separate binding agreement.

7. Information Submitted to NHGT

You are responsible for information you submit through the Website. You represent that, to the best of your knowledge, information you submit is accurate and that you have the right and authority to provide it.

You should not submit information that infringes another person's rights; violates an applicable contractual or confidentiality obligation; is unlawful or fraudulent; contains malicious software or code; or you are not authorized to disclose.

Submission of information does not obligate NHGT to act upon, evaluate, preserve, return, or enter into a transaction concerning that information except where otherwise required by law or agreed in writing. Personal information is handled in accordance with NHGT's Privacy Policy.

8. Confidential Information

You should not assume that information submitted through the public Website or Private Inquiry process is subject to a confidentiality obligation merely because it has been submitted to NHGT.

The Website and these Terms do not independently create a nondisclosure or confidentiality agreement. If confidential treatment is required for particular information or a proposed transaction, the parties should enter into an appropriate written confidentiality agreement before disclosure.

This provision does not limit obligations NHGT may have under an existing written confidentiality agreement or applicable law.

9. Client Access

Certain Website areas may be restricted to approved clients or authorized counterparties. Client Access credentials are intended only for the person or organization to whom they are issued.

Users must not disclose or share access credentials with unauthorized persons; permit another person to impersonate an authorized user; attempt to bypass authentication or access controls; access information for which they have not been authorized; or interfere with the security or operation of restricted systems.

NHGT may suspend or terminate access when reasonably necessary for security, administration, suspected misuse, expiration of authorization, or compliance purposes.

10. Security

Users must not attempt to gain unauthorized access to the Website, servers, databases, accounts, or networks; probe, scan, or test system vulnerabilities without written authorization; circumvent security or authentication mechanisms; introduce malware, malicious code, or harmful material; interfere with Website availability or operation; scrape or systematically extract Website content using automated means without authorization; or use the Website for fraudulent or unlawful purposes.

NHGT may take reasonable measures to protect the Website, its users, systems, and information.

11. Intellectual Property

Unless otherwise stated, the Website and its contents—including text, graphics, logos, trademarks, service marks, trade dress, designs, images, layouts, software, and other materials—are owned by or licensed to NHGT and are protected by applicable intellectual-property laws.

“Noble House Global Trust,” “NHGT,” associated logos, and related branding may not be used in a manner suggesting sponsorship, affiliation, endorsement, or authorization without NHGT's prior written permission.

12. Limited Permission to Use the Website

NHGT grants users a limited, revocable, non-exclusive, non-transferable right to access the Website for legitimate personal or business informational purposes in accordance with these Terms.

Except where permitted by applicable law or expressly authorized by NHGT, Website content may not be reproduced, modified, distributed, republished, commercially exploited, or used to create derivative works.

13. Third-Party Websites

The Website may contain links to websites or resources operated by third parties. Such links are provided for convenience or informational purposes and do not necessarily constitute an endorsement, recommendation, partnership, or approval by NHGT.

NHGT does not control independent third-party websites and is not responsible for their availability, content, security, privacy practices, or terms.

14. Accuracy and Availability of Information

NHGT seeks to present useful information but does not warrant that Website information will always be complete, accurate, current, error-free, or suitable for a particular purpose.

Business conditions, markets, regulations, opportunities, and other information may change without notice. NHGT may modify, remove, suspend, or discontinue Website content or functionality at any time.

15. Forward-Looking Information

Website content may occasionally include statements concerning expectations, objectives, opportunities, anticipated developments, or other forward-looking matters.

Such statements inherently involve uncertainty and should not be understood as guarantees of future performance, results, availability, completion, value, or outcome. Actual circumstances may differ materially.

16. No Guarantee of Transactions or Results

NHGT makes no representation or guarantee that an inquiry will result in an engagement; financing or capital will be available; a proposed transaction will proceed or close; an opportunity will satisfy due-diligence requirements; regulatory or other approvals will be obtained; a particular commercial result will occur; or any investment, project, asset, or transaction will achieve a particular value or return.

17. Disclaimer of Warranties

To the extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis.

NHGT disclaims warranties, express or implied, concerning the Website, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and accuracy, to the extent such warranties may lawfully be disclaimed.

Nothing in these Terms excludes a warranty or right that applicable law does not permit to be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, NHGT and its directors, officers, employees, representatives, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of, inability to use, or reliance upon the Website.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law. Rights or liabilities arising under a separately executed agreement with NHGT are governed by that agreement.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless NHGT and its directors, officers, employees, representatives, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Website, violation of these Terms, infringement of another person's rights, or unauthorized submission of information.

20. Privacy

NHGT's collection and handling of personal information through the Website is described in the NHGT Privacy Policy. The Privacy Policy should be read together with these Terms.

21. Restricted or Prohibited Jurisdictions

Users are responsible for ensuring that their access to and use of the Website complies with laws applicable to them.

NHGT does not represent that Website content or any potential service or transaction is available or legally permissible in every jurisdiction. NHGT may restrict access or decline an inquiry where reasonably necessary for legal, regulatory, sanctions, compliance, or business reasons.

22. Changes to the Website or Terms

NHGT may revise these Terms periodically. Revised Terms will be posted on the Website with an updated Last Updated date.

Changes will apply prospectively as required by applicable law. Material changes will not retroactively alter separately agreed contractual rights merely by publication on the Website.

23. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

24. No Waiver

Failure by NHGT to enforce a provision of these Terms does not constitute a waiver of that provision or of NHGT's right to enforce it subsequently.

25. Entire Agreement Regarding Website Use

These Terms, together with the Privacy Policy and any other Website terms expressly incorporated by reference, constitute the agreement between the user and NHGT concerning general use of the Website.

They do not supersede a separately executed agreement between NHGT and another party concerning an engagement, transaction, confidentiality obligation, or other specific matter. If a separately executed agreement conflicts with these Terms concerning the subject matter governed by that agreement, the separately executed agreement controls.

26. Governing Law

These Terms and disputes concerning general use of the Website will be governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except where applicable law requires otherwise.

27. Venue

Subject to any mandatory rights or jurisdictional requirements under applicable law, disputes arising specifically from use of the Website or these Terms will be brought in a court of competent jurisdiction located in Dallas County, Texas.
